problem with ZyXel U-1496E on ultra-1

Hi, Hope someone can help me with this. I have a ZyXel U-1496E connected
to cua/b on
Ultra-1 and have mgetty installed and running from inittab as
"y0:234:respawn:/string/mgetty/sbin/mgetty -n 1 -D cua/b" when I dial in
from other system
it always gave me "No carrier" even the Modem answered the dial in. The
modem has
HS, DTR, DSR, CTS and EC on when no one called in.  when it detected a
callin, the Modem
answered (AA flushed very shortly) and then HS was flushing and OH came
on. After a while,
only HS, DSR and CTS are on before mgetty reset the modem.

Thanks for help. The modem doing the calling is OK to connect to other
system.
